Steven Bernwood has been practicing Real Estate Law for over 20 years, having been personally involved in literally
hundreds of Real Estate and Real Estate Finance Transactions.  He has extensive knowledge and experience in
the areas of Real Estate Law, Real Estate Issues, Real Estate Transactions and Real Estate Finance, including
representation of: Real Estate Owners, Developers, Lenders, Borrowers, Buyers, Sellers, Managers and
Operators in Commercial Real Estate Transactions; Buyers, Sellers and Lenders in Residential Real Estate
Transactions; and Landlords and Tenants of Commercial Properties.  This experience covers many different
types of Real Estateincluding: raw land, hotels, shopping centers, office buildings, retail properties, warehouses,

retail properties, warehouses, mixed developments, apartment buildings, condominiums, golf courses, resorts
and other commercial properties.  We have extensive experience drafting, reviewing and negotiating the various
documents associated with these transactions, including Purchase and Sale Agreements, on behalf of many
different parties.

We also have a tremendous amount of experience representing
Lenders, including Banks, Finance Companies and other Financial Institutions, as well as Borrowers, in Real
Estate Finance Transactions involving the financing, re-financing, sale, acquisition and construction of many
types of commercial properties including raw land, hotels, shopping centers, office buildings, retail properties,
warehouses, mixed developments, apartment buildings, golf courses, resorts and other commercial properties.
We have extensive experience drafting, reviewing and negotiating the various documents associated with these
transactions, including Deeds to Secure Debt, Deeds of Trust, Mortgages, Assignments of Leases and Rents,
and Security Agreements, on behalf of both Lenders and Borrowers.

We have
experience with Sales, Purchases and renovations of Residential Real Estate, Financing related to Residential
Real Estate Sales and Purchases and Refinancings of Residential Real Estate.

We have
substantial experience representing Borrowers and Lenders, including Banks, Finance Companies and other
Financial Institutions, in connection with Real Estate Foreclosures and Real Estate Loan Work-outs and
Restructures.

We have been involved in dozens of
transactions involving Golf Courses, Resorts and other types of Recreational Facilities and have developed a
substantial amount of knowledge with respect to the ownership, management, financing, construction,
development, sale and acquisition of these properties and businesses

We have a great deal of experience drafting, reviewing and negotiating numerous
Commercial Leases, representing both Landlords and Tenants of Office Buildings, Shopping Centers, Retail
Properties, Warehouses and other Buildings and Commercial Properties.

We have substantial experience in the development
and construction of a variety of Commercial Real Estate Properties and Improvements and with many issues
which can arise in connection with construction and development, such as Contracts with Contractors and
Subcontractors, Zoning Laws and Zoning Issues, permitting processes, mechanic’s and materialmen’s liens, and
Environmental Laws and Environmental Issues.

Laws and Regulations as they relate to Real Estate, and with Environmental Issues affecting Real Estate
Transactions, Real Estate Finance Transactions, and the use, ownership, and development of Real Estate
